Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nexgen Compute LLC ("Company," "we," "us," or "our"), operating under the brand Health Labs AI. By accessing or using our platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms.

If you are a healthcare clinic or business ("Clinic Customer") subscribing to use the platform for your patients, these Terms govern your use and your responsibility for your patients' use of the Services. If you are an end user ("Patient User") accessing the platform through a clinic, you are also bound by these Terms in addition to any terms your clinic may impose.

Health Labs AI is a software-as-a-service (SaaS) platform that provides AI-powered lab result analysis, health data management, and conversational health insights to healthcare clinics and their patients. The platform includes:

• AI-powered analysis of uploaded lab results
• Conversational AI chat for health-related questions about lab data
• Biomarker trend tracking and visualization
• Health data management (blood pressure, supplements, TRT protocols, peptides)
• White-label branding and customization for clinics
• Clinic administration and usage analytics dashboards

• The Services are designed to help users better understand their lab results in plain language. They are not a substitute for professional medical judgment.
• AI-generated content may contain errors, inaccuracies, or outdated information. Always consult a qualified healthcare provider before making any health decisions.
• We do not practice medicine. We provide a technology tool that clinics choose to offer to their patients.
• The Company is not responsible for any health decisions made based on information provided through the Services.

As a Clinic Customer, you acknowledge and agree that:

• You are the data controller. You are responsible for the lawful collection, use, and management of your patients' data. We act solely as a data processor on your behalf.
• Patient consent is your responsibility. You are responsible for obtaining all necessary consents from patients before uploading their data to the platform or granting them access.
• Compliance is your responsibility. You are responsible for ensuring your use of the Services complies with all applicable healthcare regulations, privacy laws, and professional standards in your jurisdiction.
• AI output review. You acknowledge that AI-generated content is informational and may require clinical review. You are responsible for any clinical decisions related to the AI output shown to your patients.
• Account security. You are responsible for maintaining the security of your clinic admin account and for all activities under your account.
• Accurate information. You agree to provide accurate and complete information when registering and using the Services.

As a Patient User, you acknowledge and agree that:

• The AI-generated insights are for informational purposes only and should not replace advice from your healthcare provider.
• You are responsible for the accuracy of any data you upload or enter into the platform.
• You will not use the Services for emergency medical situations. In case of a medical emergency, call 911 or your local emergency number.
• Your access to the platform is provided through your clinic. Your clinic controls your data and account access.

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code from the platform
• Interfere with or disrupt the Services or servers
• Upload malicious files, viruses, or harmful content
• Access accounts or data belonging to other users without authorization
• Use the AI features to generate content that is harmful, misleading, or fraudulent
• Resell, sublicense, or redistribute the Services without written consent
• Exceed usage limits or quotas associated with your subscription plan

• Clinic Customers subscribe to a paid plan to access the Services. Pricing is as published on our website or as agreed in a separate order form.
• Subscriptions are billed monthly unless otherwise specified. Payments are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days' notice to existing customers.
• Failure to pay may result in suspension or termination of access.
• Free trials, if offered, are subject to the terms specified at the time of enrollment.

The Services, including all software, designs, text, graphics, and other content, are owned by Nexgen Compute LLC and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Services during the subscription term.

Content you upload (lab results, health data) remains your property (or your patient's property, as applicable). By uploading content, you grant us a limited license to process it solely for the purpose of providing the Services.

Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

We are not liable for:

• Any medical decisions made by clinics or patients based on AI-generated content
• Accuracy, completeness, or reliability of AI-generated analysis or insights
• Actions taken by Clinic Customers regarding patient data
• Unauthorized access to data resulting from a clinic's failure to secure their account
• Third-party service outages or failures (including AI model providers, hosting, or payment processors)
• Data loss due to circumstances beyond our reasonable control

Clinic Customers agree to indemnify and hold harmless Nexgen Compute LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Services or violation of these Terms
• Your handling of patient data or failure to obtain proper patient consent
• Any claims by your patients related to data privacy, AI output, or health outcomes
• Your violation of applicable laws or regulations

• We strive for high availability but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance or updates.
• We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
• We may update the AI models and algorithms used in the Services. Performance characteristics may change over time.

• Clinic Customers may cancel their subscription at any time. Access continues until the end of the current billing period.
• We may terminate or suspend access for violation of these Terms, non-payment, or at our discretion with reasonable notice.
• Upon termination, Clinic Customers may request export of their data within 30 days. After 30 days, we may permanently delete all associated data.
• Sections regarding disclaimers, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Florida. You waive any right to a jury trial or to participate in a class action.

We may update these Terms from time to time. We will notify Clinic Customers of material changes via email or platform notification at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated Terms.
